Marathon Area Business Association By-Laws

 

ARTICLE I

 

Section 1 - Name

The name of this association shall be: Marathon Area Business Association (MABA)

Section 2 - Mission Statement

The mission of this association shall be to foster, protect and advance the Marathon area's commercial, educational and civic interests.

ARTICLE II

Section 1 - Members

Membership shall be open to individuals and firms who have agreed to fair-share financial support of the association's activities.  Membership shall be subject to approval of the general membership.  Membership is limited to one voting person per member business.  Additional representatives from any firm may attend meetings.

Section 2 - Board of Directors

The Board of Directors shall consist of three voting members serving one-year consecutive terms.

ARTICLE III

Section 1 - Annual Meeting

An annual meeting will be scheduled and held as the first meeting of any calendar year.  The Officers shall determine the date, time and location of the meeting.

Section 2 - Special Meetings

Special meetings may be called  by any Officer.  The Officers shall determine the date, time and location of the meeting.

ARTICLE IV

Section 1 - Dues

Financial support of the association shall be derived primarily from fair-share support from members.  Fair-share support for each member shall be determined by general membership.  

Section 2 - Disbursements

The Officers shall approve of all expenses and disbursements.

Section 3 - Amendments

The Bylaws may be amended by a two-thirds vote of qualified members present at any meeting.

ARTICLE V

Section 1 - Term Of Office

The government of the association, the direction of its work, and control of its property shall be vested in three Officers.  One Officer shall be elected each year  for a term of three years.  No member shall be eligible to server continuously in one office for a longer period than one three-year term.  Three new Board of Directors shall be elected each year.  Board of Director may server consecutive terms.

Section 2 - Election of Officers and Board of Directors

Officers and Board of Directors shall be elected by the general membership by popular vote at the Annual Meeting, and with a quorum of seven (7) voting members.

Section 3 - Meetings

The Officers shall hold no less than four meetings a year.  The Officers may determine special meetings.

Section 4 - Vacancies

In the event of a resignation, death or removal for any cause, of any Officer, the President or Vice President/Secretary shall appoint a successor to serve the unexpired term subject to approval of the general membership.

Section 5 - President

The President of the association shall preside at all meetings of the association.  The President shall be in charge of association affairs, perform all duties incident  to this office and advise such action as may be deemed likely to increase the usefulness and prosperity of the association.

Section 6 - Vice President/Secretary

The Vice President/Secretary shall perform the duties of the President's absence.  The Vice President/Secretary shall be responsible for the recording of the minutes of official proceedings of the association and shall perform such other duties as may be delegated by the President.

Section 7 - Treasurer

The Treasurer shall see that all monies of the association are deposited in its name and shall supervise the books and disbursements of the association.  The Treasurer shall submit reports to the general membership at all regular meetings.

ARTICLE VI

Section 1 - Parliamentary Rules

The proceedings of the Marathon Area Business Association shall be governed by and conducted according to the standard parliamentary practice, except as may conflict with these articles.
